Adam provides counsel to corporate clients and closely-held businesses in diverse industries on a wide range of transactional matters and tax issues, including entity formations, acquisitions, dispositions, and related tax planning.  He also works with closely-held business owners and other high net-worth individuals to preserve and transfer family wealth through business succession planning and estate and transfer tax planning.  In addition, Adam serves as “outside general counsel” for business clients and coordinates other legal needs.

Experience

In his practice, Adam regularly:

  • Advises clients in various industries, including Healthcare, Automotive, Private Equity/Venture Capital, Agriculture, Real Estate, and Manufacturing, with regard to business formation, structure, governance and other operational and tax issues
  • Represents closely-held entities in connection with mergers and acquisitions, reorganizations, dispositions, and related tax planning
  • Develops and implements succession plans for closely-held businesses and properties
  • Prepares wills, trusts, and other wealth transfer documents, and advises clients in connection with related income and transfer tax planning matters
  • Represents fiduciaries in connection with the administration of estates and trusts and related tax matters
  • Provides counsel to taxpayers in disputes with the Internal Revenue Service and Arkansas Department of Finance and Administration
  • Serves as “outside general counsel” with respect to various transactional matters and coordinates other legal needs
