Robyn has a broad practice in the areas of real estate, corporate and securities, commercial financing, and mergers and acquisitions.  She has over a decade of experience in representing individuals and businesses in the purchase and sale of real estate, lease transactions, zoning and development issues, title issues, restrictive covenants and other real estate matters; advising closely-held businesses in the acquisition and sale of businesses; representing local lenders in financing transactions; serving as local counsel to out-of-state lenders with transactions in Arkansas; and assisting clients in compliance with state blue sky laws in connection with private placements of securities.

In addition, Robyn serves a number of clients as “outside” general counsel, advising on day to day issues and general corporate matters, such as financing issues, corporate structure and governance, transactional matters, and contract drafting and negotiation.  Robyn’s creativity and attention to detail benefit her clients in drafting and negotiating all types of commercial contracts, such as sales representative and distributor agreements, commercial purchase orders, customer rebate agreements, equipment lease and purchase agreements, vendor services agreements, consulting agreements, physician employment agreements, no-competes, and independent contractor agreements.

  • Borrower in $70,000,000 senior credit facility and $16,300,000 subordinate credit facility in connection with acquisition of women’s marketing company
  • Poultry processing client in $68,000,000 term and revolving credit facility, secured by properties in multiple counties
  • State bank in multiple construction loans to developer of low income housing apartments
  • Newly formed entity in asset acquisition of two manufacturers of hunting and outdoor apparel and accessories, with one acquired out of state court receivership
  • County economic development corporation in acquisition of multiple tracts totaling $2,900,000 in connection with incentive agreement to new industry, and ground lease of such property to the industry
  • National bank in $23,000,000 credit facility, secured by publicly traded stock
  • Multiple sellers in sale of 2,300 acre farm in Arkansas valued at $10,500,000
  • Venture capital fund in formation and preparation of subscription and private placement materials and compliance with federal and state blue sky laws for capital raise of up to $25,000,000
  • Community Development Entity in federal and Arkansas new markets tax credits transactions involving loans to qualified active low income community borrower
  • National bank in financing of two large aircraft loans
  • Arkansas convenience store chain acquiring real estate and negotiating leases with a Fortune 500 fast food restaurant chain
