Robyn P. Allmendinger

Robyn P. Allmendinger practices in the areas of corporate and securities, commercial lending and borrowing, mergers and acquisitions, and real estate.  Her practice focuses on advising closely-held businesses in the acquisition and sale of stock or assets; representing local and out-of-state lenders in financing transactions; representing individuals and business entities in the purchase and sale of real estate, lease transactions, zoning issues, restrictive covenants and other real estate matters; assisting clients in compliance with state blue sky laws in connection with private placements of securities; and drafting a wide variety of commercial contracts, such as sales representative and distributor agreements, commercial purchase orders, customer rebate agreements, equipment lease and purchase agreements, consulting agreements, physician employment agreements, no-competes, and independent contractor agreements.

Robyn's more recent experience includes:

• Serving as counsel to an Arkansas entity acquiring real estate and negotiating leases with a Fortune 500 fast food restaurant chain.
• Representing an out-of-state corporation in an almost $30,000,000 acquisition of an Arkansas corporation, involving real estate and other personal property assets, seller financing, and environmental matters.
• Representing an Arkansas private equity firm in the multi-million dollar acquisition of an out-of-state construction services business.
• Representing an Arkansas business in the acquisition of a multi-million dollar warehouse facility.
• Representing a physician's practice in the purchase of another related practice with seller financing and no compete covenants.
• Serving as local counsel to both large and small out-of-state lenders in financing transactions with Arkansas real estate as collateral.
